The main duty and prime responsibility of the Board of Directors
is for it to act as the governing body of management, delegating
operating responsibilities and implementing decisions made
by the CEO and Executive Management Team.
The Board also retains overall responsibility for SBIG's performance.
- It reviews and approves financial and business strategies and major corporate actions;
- regularly conducts strategic reviews of SBIG's performance;
- reviews and approves annual budgets;
- reviews and discusses management reports;
- assesses investment opportunities;
- assesses risk facing the Group;
- decides on profits to be distributed to shareholders; and
- reviews and approves external and internal audit reports.
